Content Assignment and Submission Agreement

Budget Rider, LLC (the Company) prepares, edits, publishes, and distributes articles, information, photographs, illustrations, and other content and materials relating to motorcycles. The Company may make publication or distribution of the aforementioned materials in any form or medium, now existing or later developed. The undersigned (the Author) is the author, developer, creator, and owner of the articles, information, photographs, illustrations, and other content and materials described as follows: (collectively, the Submitted Materials).

In consideration for the possibility of having the Submitted Materials published or otherwise distributed, and in further consideration of the possible publicity that might result from such publication or distribution, and for other good and valuation consideration, the receipt and sufficiency of which is hereby acknowledged, the Author agrees as follows:

1.) Assignment – The Author hereby transfers, sells, and assigns to the Company all of its worldwide right, title, and interest in and to the Submitted Materials, including without limitation, all rights of copyright, patent, trade secret, trademark and service mark, trade dress, character rights, sequel rights, publicity rights, and any and all proprietary rights of any kind whatsoever relating to the Submitted Materials, together with any and all applications, registrations, renewal and extension rights, and rights to sue for any past, present, or future infringement (collectively, the Rights).

2.) Use and Waiver – The Company may, with respect to all or any portion of the Submitted Materials, use, publish, display, reproduce, distribute, destroy, alter, retouch, modify, adapt, translate, use in a performance, or change the Submitted Materials without providing notice to or receiving consent from the Author. The Company may, but need not, identify the Author as the author, developer, or creator of the Submitted Materials. The Author expressly waives any and all artistic and moral rights associated with the Submitted Materials.

3.) Author Information – To the extent, if at all, the Author provides the Company with any biographical or other information concerning the Author and/or the Submitted Materials, the Company shall have the right, in its sole discretion, to use such information in connection with the publication, distribution, and promotion of the Submitted Materials or any materials based on or related to the Submitted Materials.

4.) Representations and Warranties – The Author represents and warrants that:

(a) It is the exclusive owner of the Submitted Materials and the Rights, and no other person or organization participated in the creation of the Submitted Materials;

(b) The Submitted Materials are original;

(c) The Submitted Materials have not been published;

(d) The Submitted Materials and the Rights are not subject to any liens, claims, or restrictions of any kind whatsoever;

(e) The Author has the right and authority to enter into this Agreement without receiving the consent of any other person or organization, and this Agreement shall be binding upon and fully enforceable against the Author;

(f) All persons whose likeness, image, name, or voice is used in connection with the Submitted Materials, and the owners of any unique or unusual inanimate objects which are used and identifiable in the Submitted Materials, have each and all, executed valid and adequate releases and consents permitting the use thereof for any purpose;

(g) The Company’s use of the Submitted Materials and exercise of the Rights shall not infringe any copyright, patent, trade secret, trademark and service mark, trade dress, character rights, sequel rights, publicity rights, privacy right, or any other proprietary right of any other person or organization; and

(h) No person or organization has any reversionary rights in the Submitted Materials or the Rights.

5.) Indemnification – The Author and its successors and assigns shall indemnify, defend, and hold harmless the Company and its successors and assigns from and against and in respect of any and all claims, demands, losses, costs, expenses, obligations, liabilities, damages, recoveries, and deficiencies, including interest, penalties, and reasonable attorneys’ fees that it shall incur or suffer which relate to the publication, distribution, or use of the Submitted Materials, the exercise of the Rights, or the Author’s breach of any of the representations or warranties made in this Agreement.

6.) Situs and Jurisdiction – This Agreement shall be governed by the laws of the State of Minnesota and the applicable laws of the United States. For the purpose of resolving conflicts related to or arising out of this Agreement, the parties expressly agree that venue shall be in the State of Minnesota only, and, in addition, the parties hereby consent to the jurisdiction of the federal and state courts in the State of Minnesota.
